St. Joseph Inc. (OTCID: STJO) said on August 14, 2026 that it has acquired U.S.-based Fastbase AI Corporation, a company that identifies anonymous website visitors and converts them into named company and contact records for sales and advertising use.

No purchase price, share issuance or other financial terms were disclosed in the announcement. The release also contains no revenue, profit or customer figures for Fastbase, and no information on St. Joseph's cash position or share count following the transaction. Investors therefore cannot assess from the release how much of the company was given away, if any, to fund the deal.

Alongside the acquisition, the company said it intends to apply to FINRA to change its corporate name to Fastbase AI Inc, describing this as a strategic shift toward a primary focus on artificial intelligence. FINRA, the Financial Industry Regulatory Authority, processes corporate action requests such as name and symbol changes for over-the-counter issuers. The trading symbol is not currently expected to change. No timeline for the application or its approval was given.

The company also said that a Mr. Ortiz will be appointed as a director and officer. The release does not give his first name, his background, or which officer role he will hold. It does not say whether any existing directors or officers are leaving.

What the acquired business does

According to the release, Fastbase sells website visitor identification and lead generation tools. Its products include InMarket Leads, described as a Google Analytics-based tool that flags companies searching for specified keywords along with location and contact details; Web Leads, a visitor tracking and benchmarking tool; and a set of customer interaction features such as popups, in-product tours and chat.

The company says Fastbase is developing an AI-powered business search platform drawing on data covering roughly 350 million companies. That platform is described as still in development, not in commercial release. The descriptions of Fastbase's products in the announcement come from the company's own materials and are not independently verified.

A change of business, not an extension of one

The shift is substantial rather than incremental. St. Joseph's own description of itself in the same release is a specialty medical device, medical equipment, medical supply and nutritional products company, selling FDA-approved devices and formulated products for rehabilitation, remote patient monitoring and critical care monitoring. The release does not say what happens to that business — whether it will be retained, wound down or sold — after the intended name change to an AI-focused identity.

Chief Executive Christopher Studinger said the acquisition "fits perfectly within our current mandate to expand our presence in artificial intelligence and data intelligence technologies," and referred to building a portfolio of brands in the sector. The release does not identify the other AI or data assets in that portfolio, or when they were acquired.

Readers assessing the announcement are left with the elements that usually determine whether an acquisition of this kind matters: consideration paid, the acquired company's booked revenue, and the effect on the outstanding share count. None of those three are addressed in the release. Until the company files financial statements covering the transaction, the size and cost of the deal remain unstated.
