Slave Lake Zinc Corp. CSE: SLZ

Slave Lake Zinc Corp. is seeking up to $150,000 in gross proceeds from a non-brokered private placement priced at $0.04 per unit, announced alongside a corporate name change to Taltson Critical Minerals Corp.

Each unit consists of one common share and one warrant exercisable at $0.07 for three years. A warrant is a right, not an obligation, to buy an additional share at a fixed price. At the full amount, the financing would issue roughly 3.75 million units, plus the same number of warrants if all were later exercised. The release does not disclose the company's current share count or cash position, so the dilutive effect cannot be measured from the material provided.

The company says one or more insiders may participate, in which case it will rely on an exemption from the related-party provisions of MI 61-101, the Canadian rule governing transactions with insiders. A finder's fee may be payable on part of the raise. Shares and warrants issued in the placement, and any shares issued on exercise, carry a four-month hold period under Canadian securities law and Canadian Securities Exchange policy. Proceeds are earmarked for working capital.

Name change effective August 7

The name change to Taltson Critical Minerals Corp. takes effect August 7, 2026, with trading under the new name expected to begin on or about that date. The ticker stays SLZ on the CSE.

The new CUSIP will be 87483K108 and the new ISIN CA87483K1084. Share capital is unchanged, existing certificates remain valid, and shareholders need to take no action.

What the money is for

According to the company's own description of its work programme, it is planning an airborne geophysical survey over the wholly owned O'Connor Lake property in the Northwest Territories, intended to prioritise drill targets across zinc, lead, copper, silver and gold showings identified to date. The company states it is currently raising capital to fund that survey and has not finalised its schedule.

No budget for the survey is given in the release, and no drill programme has been announced. Descriptions of the O'Connor Lake and Taltson magmatic zones as holding potential for "world-class" base, precious and critical metals are the company's characterisation of its exploration thesis, not a resource estimate or a technical finding.

Readers should note that the closing figure represents an upper limit rather than a commitment. The release states anticipated gross proceeds of up to $150,000, with no announced closing date and no disclosure of subscriptions received.
