iMetal Resources said on August 5, 2026 that its previously announced non-brokered private placement is fully subscribed at $3,000,000 gross, consisting of 30,000,000 units priced at $0.10 each.
Each unit contains one common share and one transferable warrant. The warrant is exercisable at $0.175 for 36 months after closing. If the volume-weighted average price of the shares on the TSX Venture Exchange exceeds $0.40 for 20 consecutive trading days at any point after four months and one day from closing, the company may accelerate expiry by giving notice, with the warrants then lapsing 30 days after an announcing press release.
The largest subscriber is McFarlane Lake Mining Limited (CSE: MLM), which has agreed to take 14,200,852 units, or 19.9% of the shares outstanding once the financing closes. Under an investor rights agreement effective at closing, McFarlane Lake may nominate one director to iMetal's board and will advise on exploration work at the Gowganda West property. The company describes the arrangement as giving it access to McFarlane Lake's technical experience in the Abitibi region.
The 19.9% figure implies roughly 71 million iMetal shares outstanding after the deal. On that arithmetic, the placement increases the share count by about 70%, before any exercise of the 30 million warrants attached to the units.
iMetal says net proceeds will fund further exploration on its properties and general working capital. No breakdown by project or budget figure was provided, and the release does not state the company's cash position before the raise.
Integrity Capital Group is acting as financial advisor. On subscribers it introduces, Integrity is entitled to a cash commission of 8% plus broker warrants equal to 8% of the units placed, each broker warrant exercisable into one unit at $0.10 for 36 months. The company said it may also pay finders' fees to other eligible parties who introduced subscribers.
Closing remains subject to regulatory clearances and acceptance by the TSX Venture Exchange. Securities issued in the offering carry a statutory hold period of four months and one day from issuance under Canadian securities law. No closing date was given.
Gowganda West, which iMetal calls its flagship, is an exploration-stage gold project in the Shining Tree area of the southern Abitibi Greenstone Belt, bordering the Juby deposit about 100 km south-southeast of Timmins. The company cites a discovery hole of 48.5 metres grading 0.85 grams per tonne gold. The property has no stated mineral resource. iMetal also holds the 220-hectare Ghost Mountain property northeast of Kirkland Lake and the Carheil project in Quebec.
