The Calgary cannabis producer says its audited 2025 financial statements should be filed by August 11, 2026, with first-quarter filings following on August 14, and has asked the Alberta Securities Commission to extend its management cease trade order to the same date.

Simply Solventless Concentrates said it expects to file its audited financial statements for the year ended December 31, 2025, along with the related management's discussion and analysis and CEO and CFO certificates, by August 11, 2026. Interim filings for the three months ended March 31, 2026 are expected by August 14, 2026.

The Calgary-based cannabis company has also asked the Alberta Securities Commission, its principal regulator, to extend an existing management cease trade order to August 14, 2026.

A management cease trade order, or MCTO, bars a company's officers and directors from trading its securities while required filings are outstanding. It does not restrict other shareholders. The order was issued on May 4, 2026 under National Policy 12-203, following a default announcement the company made on April 30, 2026.

Simply Solventless attributes the delay to demands on management time arising from proceedings under the Companies' Creditors Arrangement Act involving three wholly owned subsidiaries: ANC Inc., CannMart Inc. and Massive Hash Factory Ltd. The CCAA is the Canadian statute under which larger insolvent companies restructure while protected from creditors.

The company said it continues to work with its auditor on outstanding audit matters. In the same release it took the step of clarifying that neither the audit nor the filing delay stems from its appointment of BDO Canada LLP as new auditor. Auditor changes at small issuers are a common cause of late filings, and the clarification suggests the company wants that inference ruled out.

Simply Solventless also stated that it expects no further delays or extension requests beyond the August 14 date. That is a forward-looking statement from the company rather than a certainty; the release itself carries the standard caution that such expectations may not prove correct. The company has already moved past one set of filing deadlines, so the credibility of the August dates will be tested when they arrive.

Under the alternative information guidelines that accompany an MCTO, an issuer in default must keep the market informed at regular intervals. Simply Solventless said it will continue issuing default status reports by news release every two weeks for as long as it remains in default, and that it has met that obligation to date.

Apart from the annual and first-quarter filings, the company said it is current with its continuous disclosure obligations. It also said there have been no unannounced material changes to the information in the April 30 default announcement, other than the auditor clarification.

The shares trade on the TSX Venture Exchange under the symbol HASH. The release contained no financial figures, no update on the CCAA proceedings themselves, and no indication of what the completed audit may show.
