The decision came on August 17. The next day, DriveItAway Holdings filed the paperwork that suspended its SEC reporting obligations on the spot.

The document filed was a Form 15, which a company uses to exit the federal securities reporting system. From the moment it landed, DriveItAway is no longer required to file annual reports, quarterly financials or current-event disclosures with the SEC. Full deregistration is expected 90 days after the August 18 filing.

The company qualified because its common stock is held of record by fewer than 300 persons — a threshold in federal securities law that lets small companies leave the reporting system. The board decided the cost of staying in was no longer justified for a company of its size.

For a shareholder, that shift is concrete. SEC filings — audited annual accounts, quarterly results, disclosures of material events — are the standard tools for tracking what a company is doing with its money. Once deregistration takes effect, those are gone.

DriveItAway says it will continue to provide financial information through the OTC Markets Alternative Reporting Standard, which would allow its shares to remain quoted on the OTC Markets current-information tier. That is a separate, lighter system, and it is not reviewed by the SEC. The filing does not specify how frequently reports will come or whether they will be audited.

"Our focus is on building the business, and we intend to maintain transparent, current disclosure for our investors," CEO John Possumato said in the company's August 18 press release.

The 8-K filed to announce the Form 15 may be the last current report DriveItAway ever files with the SEC.
