IMA Tech's board had one seat. Then the person sitting in it appointed her husband to fill the second.
An 8-K filed with the SEC on August 20 discloses that the board expanded from one director to two on July 31, and that Lucky Lakhvindar Janda was appointed to fill the new vacancy, effective immediately. The filing states plainly that Janda and IMA Tech's other director — Inderjit Mangat, who also serves as chief executive officer — are husband and wife.
Janda, 71, has managed his own investments for more than a decade, according to the filing. Since 2024 he has also served as a director and VP of Marketing and Capital Markets at Aapki Ventures, a British Columbia company listed on the Canadian Securities Exchange under the symbol APKI. The Canadian Securities Exchange's own listing page shows Aapki Ventures' status as suspended. The 8-K gives the reason: the company failed to file required periodic financial reports.
That detail matters for anyone holding IMA Tech stock. The new director's only disclosed outside board role is at a company regulators have shut out of trading for the same category of failure — late or missing filings — that small public companies most commonly stumble over. The 8-K does not say whether Janda has any relevant operating or governance experience beyond investment management and his role at Aapki Ventures.
The filing was signed by Mangat as chief executive officer. With Janda's appointment, the board of IMA Tech is now two people who are married to each other.
