VisionWave Holdings signed a binding deal to buy a controlling stake in Israeli aerospace firm Meteor Aerospace in late June, then cancelled it six weeks later after reviewing the target in due diligence. Shares closed 44.72% higher the day the exit was disclosed.

VisionWave Holdings, Inc. NASDAQ: VWAV

The agreement, dated June 28, called for VisionWave to acquire 51% of Meteor Aerospace at a pre-money equity valuation of $40 million. On August 13, the company sent Meteor a written termination notice, effective immediately. The 8-K filed the following day says the decision followed due diligence but does not give a reason for the finding.

The exit carried no financial cost. No shares were issued and no money changed hands, and VisionWave said it faces no early termination penalties. The deal had not closed at the time it was cancelled.

Shares closed at $1.78 on August 14 against a previous close of $1.23. Dollar volume was about $45.9 million across 120,586 trades. The free float is 11,244,414 shares, representing 41.1% of shares outstanding. Short volume on the session was 9,367,090 shares, or 62.46% of reported volume.
