# An Electric Boat Company Is Merging Into a Mystery Defense Drone Firm

Vision Marine Technologies builds electric boats. The company it plans to hand control to builds defense drones. At closing, if the deal completes, existing Vision Marine shareholders would own **2.9% of the combined entity**.

On August 24, the company announced it had **signed a non-binding letter of intent for a reverse takeover** by a privately held defense-technology company focused on unmanned aerial and autonomous systems. The counterparty's name is not being disclosed. Vision Marine says the identity will remain confidential until due diligence is complete and definitive agreements are signed.

The 2.9% is the base case, before any concurrent financing dilutes it further. There is contingent consideration tied to maritime autonomy and military or government sales milestones that, if fully earned, **could lift existing holders' combined stake to about 5.7%**. Even then, the counterparty's shareholders would hold the large majority of the combined company.

Shares closed 29.49% higher at $9.30 on August 27, on dollar volume of about $36.2 million.

Closing the deal has substantial preconditions. **A concurrent financing of at least $25 million** must be completed. The counterparty must also secure **at least $100 million in binding purchase orders for 2027 deliveries** before the transaction can close. Vision Marine's release states plainly that this threshold "does not represent purchase orders currently received, contracted backlog or guaranteed future revenue." The parties are aiming for definitive agreements by mid-October and a closed transaction by the end of the year.

The reverse split sits alongside this. On the same day as the deal announcement, Vision Marine disclosed a **1-for-10 share consolidation**, combining every ten existing shares into one, effective August 26\. The stated purpose was to push the share price back above the **$1.00 minimum** Nasdaq requires for continued listing — a bar the stock had not cleared.

Chief Executive Alexandre Mongeon framed the proposed merger in the release as a natural evolution, from electrification into "intelligence and autonomy." The release does not disclose the counterparty's revenues, contracts, or financial statements, and notes that the demand estimates the counterparty has provided remain subject to Vision Marine's own due-diligence review.

Shareholders asked to vote on this deal would be approving a transaction that transfers the vast majority of the combined company to a buyer whose name they do not yet know.
