Rockwell Medical supplies dialysis clinics across the United States. On November 2, it agreed to buy Vantive's in-center hemodialysis business across 35 jurisdictions — one that the filing describes as several times Rockwell's own size.

Rockwell Medical, Inc. (DE) NASDAQ: RMTI

Shares **closed 17.08% higher at $8.0900**, on dollar volume of about $503,000.

**The entire $125 million base price is financed by Vantive**, the seller. The filing states the closing consideration will be paid entirely in the form of seller financing: **$100 million in term loans** and a **$25 million convertible note**. On top of that, Rockwell may owe **up to $45 million more in earnout payments** based on the company's pro forma financial performance in the years after closing.

## What Rockwell is taking on

The business covers hemodialysis concentrates, water treatment systems, monitors, bloodlines and related services sold across those 35 jurisdictions. The main manufacturing site is in Medolla, Italy, through a subsidiary Rockwell will acquire outright. Assets in the remaining jurisdictions transfer separately, with some deferred until after the main closing. Under binding term sheets signed alongside the purchase agreement, Vantive will supply certain products to Rockwell after closing, and Rockwell will supply products back from the Italian facility.

## The debt

The $100 million in term loans comes in two equal tranches. The interest rate on both starts above the benchmark rate and rises each year the loans stay outstanding, with the second tranche carrying a higher rate throughout. Rockwell can roll interest on the first tranche into the loan balance rather than paying cash, though that option carries an additional rate premium. The loans are secured by a lien on substantially all of Rockwell's assets and those of its guarantor subsidiaries, with the equity interests of its subsidiaries pledged as additional collateral. Both tranches mature six years after closing.

The **$25 million convertible note carries interest at 3%** per year, added to the principal rather than paid in cash. Vantive can convert any portion into Rockwell shares at **$14.94 per share** — a price the note sets at twice a reference price of $7.47\. Nasdaq rules cap how many new shares a company can issue without a shareholder vote at 19.99% of shares already outstanding; conversions above that limit wait until shareholders approve them. Rockwell has committed to seeking that approval at its next annual meeting after closing. If shareholders say no, the note stays on the books as debt.

## Closing timeline

The deal requires regulatory clearances in multiple jurisdictions, including a foreign-investment review under Italian law, plus an internal reorganisation at Vantive and a separation from Baxter's information technology systems. The deadline is **November 1, 2027**, extendable to as late as April 2028\. There is no termination fee if the deal collapses.

Rockwell also needs the consent of the holder of its existing preferred stock to take on the new debt. The filing flags this as a risk but says it is not a condition to closing. What happens if that consent is withheld, the filing does not say.
