# Patrick Soon-Shiong's Nant Takes Board Seats at PDS Biotech

Patrick Soon-Shiong's Nant Capital is joining PDS Biotechnology's board of directors. Alongside a capital injection expected to close within days, it secured the sole right to negotiate a license to one of the company's cancer programs — for an entire year.

The deal was signed September 7 and disclosed in an 8-K filed with the SEC the following morning. For shareholders, it means a new investor with significant resources has taken board-level influence and holds an exclusive path to one of the company's programs — one that no competing bidder is now permitted to approach.

**Shares closed 36.36% higher at $0.3000**, on dollar volume of about $210 million across about 671,000 trades.

The capital arrives in two tranches. At an initial closing expected around September 11, the company will raise roughly **$11.5 million** from a group of accredited investors in a private placement. Buyers receive shares or pre-funded warrants, each unit paired with additional warrants exercisable at **$0.22 per share** for one year.

A second tranche of about **$11 million** is contingent on a clinical milestone. PDS Biotech must submit a registrational Phase 3 trial protocol for its tumor-targeting program PDS0301 to the FDA — a protocol the filing says will be designed in collaboration with Nant. Once submitted, Nant Capital and a co-investor called AB Group are obligated to fund the second tranche.

**Nant has the right to designate two directors**, one of whom must be Dr. Patrick Soon-Shiong himself. That right holds as long as Nant owns at least **15%** of the company's outstanding shares. If Nant's stake falls below that threshold, its designees must offer to resign.

Separate from the equity deal, Nant's subsidiary NantWorks is taking an exclusive option to negotiate a license over PDS0101, the company's HPV-targeted cancer vaccine. The price for that option is **$25,000**. In return, PDS Biotech cannot reach any competing licensing agreement on PDS0101 for the full year ahead, and cannot enter one at all without NantWorks' written consent.

The full placement — including all warrants and milestone securities — could produce up to about **111 million new shares**. The company's free float entering the deal stood at about 47.6 million shares, so the ceiling on potential new issuance is roughly double what currently trades.

What NantWorks ultimately pays for PDS0101, if it reaches an agreement at all, is what the next year of negotiations will decide. The $25,000 buys the conversation, not the program.
