Jupiter Neurosciences has agreed to sell **307,692 shares of common stock** to raise **about $2.0 million** in a registered direct offering — a sale to specific investors rather than through the open market. The announcement carries no use-of-proceeds statement. For a company running a Phase IIa clinical trial for Parkinson's disease, that is a notable omission.

Jupiter Neurosciences, Inc. NASDAQ: JUNS

D. Boral Capital is acting as exclusive placement agent. Closing is expected **on or about August 24, 2026**, under a shelf registration the SEC declared effective in April 2026\. A shelf registration lets a company pre-approve a set of securities and draw on it when cash is needed, without restarting the registration process from scratch each time.

The announcement came out on August 21\. Shares **closed 19.92% higher at $6.2000** two days later, after a previous close of $5.1700, on dollar volume of about $444 million.

The company's lead program is JOTROL, a formulation of resveratrol — a compound found in certain plants — that the company says has enhanced bioavailability. It is in a Phase IIa trial for Parkinson's disease, according to the release. The company also holds U.S. rights to ALA-002, which it describes as a next-generation psychedelic compound, and sells a consumer supplement called Nugevia.

How long $2.0 million sustains a clinical-stage operation is a question the release does not answer: no cash position or burn rate appears in the announcement.
