The European Commission, the EU's executive, has cleared Chinese e-commerce group JD.com's purchase of CECONOMY, the German company behind the MediaMarkt, MediaWorld and Saturn electronics chains. The approval comes with conditions. The Commission said JD.com received subsidies from China that are "liable to distort the internal market," and the deal goes ahead only if the companies keep the promises they made to fix that.

JD.com is headquartered in the Cayman Islands and listed on the Nasdaq and the Hong Kong Stock Exchange. It runs a retail business and an online marketplace in China and also provides logistics and technology services. CECONOMY, headquartered in Germany, sells consumer electronics and home appliances online and in stores in several EU countries.

## What Brussels found

The approval followed an in-depth investigation, during which the Commission gathered information from the two companies and from their competitors. It said JD.com received "preferential financing, tax incentives and grants" from China. According to the Commission, those subsidies helped build the logistics and technology capabilities that JD.com would provide to CECONOMY after the deal. The Commission said the subsidies could improve both companies' capacity to finance activities in the EU "and engage in aggressive pricing to the detriment of other market participants."

To answer those concerns, the companies committed to three things. Dealings between JD.com and CECONOMY, including any financing JD.com gives CECONOMY, must be on market terms. JD.com must offer its warehousing and logistics services to other retailers on the same terms it gives CECONOMY. And it must offer its technology services to third parties on the same terms as well. After competitors tested and criticised an earlier version, the companies strengthened the financing commitments and improved the terms for outside users of the logistics and technology services, the Commission said.

The Commission said the final package "fully and effectively" removes the distortion by preventing JD.com from cross-subsidising CECONOMY and by eliminating the advantage the combined company would gain from JD.com's subsidised capabilities. The Commission did not put a figure on the subsidies it identified.

## How long it lasts

The commitments run for 10 years. An independent trustee will monitor them under the Commission's supervision. The review was carried out under the EU's foreign subsidies rules, which have applied since July 12, 2023\. Under those rules, a deal must be notified when a company involved is established in the EU with at least €500 million in EU turnover and the parties received at least €50 million in combined foreign financial contributions in the prior three years. At the end of an in-depth investigation, the Commission can accept commitments, block the deal, or raise no objection. Germany's DAX index closed at 25,981.09 on November 2.
