# This Hong Kong Cloud Company Wants Permission to Print a Hundred Trillion Shares

ChowChow Cloud is asking shareholders to vote for a reverse split — turning every 10 shares into one. Right after that, in the same set of proposals at the same meeting, it wants permission to authorize 100 trillion shares.

The extraordinary general meeting is set for September 14 in Hong Kong. The full agenda runs through six linked resolutions: **a 10-for-1 reverse split**, the creation of two share classes with different voting rights, a redesignation of all existing shares into those classes, and then an increase in authorized shares **from 50 million to 100 trillion**. If all six pass, CEO Yee Kar Wing's holding company will control **95.7% of all votes** — up from a position today where it holds about 68.91% of ordinary shares.

For anyone already holding shares, those two outcomes are related. The redesignation is the step that matters most. Under the proposal, Yee's company — Rainbow Sun Enterprises Limited, incorporated in the British Virgin Islands — would have its shares redesignated into Class B. Everyone else's shares become Class A. **Class B shares carry 10 votes each**; Class A shares carry one. Rainbow Sun's economic stake stays roughly where it is, but its say over every subsequent decision becomes nearly absolute.

The proxy statement was filed with the SEC on August 26\. Shares closed 68.42% higher at $0.6400 on August 28, on dollar volume of about $93 million.

The proxy says the dual-class structure would "enable the Company's key shareholders to maintain long-term voting control and stability." On the 100 trillion authorization, it says the additional headroom would allow for equity financings, strategic transactions and general corporate purposes. The filing does not say how many of those shares the company intends to issue, or on what timeline.

Class A shares cannot be converted into any other class. Class B can convert into Class A, at the holder's option, on a one-for-one basis — but only Rainbow Sun would hold Class B. The decision of when, or whether, to give up that voting premium belongs entirely to Yee.
